Terms and Conditions of Sale

1. Purpose

These Terms and Conditions of Sale (TCS) govern the sale of software license keys for our applications to individual consumers and business customers.

2. Products

We offer software distributed under a user-based licensing model through annual subscriptions or monthly subscriptions that automatically renew unless cancelled in advance.

Each license is granted per user and cannot be transferred or shared. Business customers may purchase multiple licenses (seats) and assign them to individual users internally.

We offer either a free limited version or a 30-day free trial to customers depending on the product, allowing them to evaluate our software before purchasing.

3. Orders

Orders are placed online through our website. After successful payment, the license key is delivered automatically via email within a few minutes.

Following purchase, customers will receive an email containing:

  • A payment receipt (for individual licenses) or invoice (for business licenses)
  • A link to manage their subscription, including cancellation options

4. Prices

Prices are displayed:

  • Including taxes (VAT or equivalent)

Prices may be shown in euros, US dollars, or British pounds.

VAT handling is managed automatically via Stripe. EU business customers may apply the reverse charge mechanism by providing a valid VAT ID.

5. Payment Terms

Payment is due immediately and is required for license activation.

In the event of a failed or reversed payment, the license is deactivated and access to the software is suspended.

For business clients only, a fixed recovery fee of €40 may be applied for late payments, in accordance with Article L441-10 of the French Commercial Code.

6. Right of Withdrawal and Refund Policy

In accordance with EU consumer protection laws, individual customers (B2C) have a 14-day right of withdrawal, provided they have not yet activated the software.

By activating the software immediately after purchase, the customer expressly waives the right of withdrawal (Article L221-28 of the French Consumer Code).

Refunds are not granted:

  • To businesses (B2B)
  • After activation of the software
  • Beyond the legal withdrawal period

7. Duration and Termination

Subscriptions renew automatically every 12 months unless cancelled in advance.

Customers may cancel their subscription at any time before the renewal date. No refunds are issued for partially used subscription periods.

8. Usage Restrictions

Licenses are granted per individual user. It is strictly forbidden to:

  • Share, resell, or transfer a license
  • Modify, disassemble, reverse engineer, or attempt to bypass licensing or security mechanisms
  • Use the software for illegal or unauthorized purposes

Any use without a valid license is strictly prohibited.

In accordance with Articles L217-4 to L217-14 of the French Consumer Code, the customer is entitled to the legal warranty of conformity covering any non-conformity defects present at delivery of the license.

This warranty does not cover:

  • Minor bugs
  • Predictable limitations of AI-based features
  • Known issues documented at purchase
  • Errors arising from system incompatibilities

The free limited version or 30-day free trial allows the user to evaluate the product before making a purchase decision.

Warranty against hidden defects (B2B and B2C)

Under Articles 1641 to 1649 of the French Civil Code, all customers are covered against hidden defects that render the software unusable.

This warranty does not apply to:

  • Known or documented limitations
  • AI-generated results that are probabilistic or imprecise by nature
  • Technical bugs subject to regular updates and patches

Claims must be supported by technical evidence and submitted in writing.

10. Limitation of Liability

The software is provided “as is”. While we strive to ensure stability and security, we do not guarantee uninterrupted service or error-free operation.

We shall not be held liable for:

  • Loss of data
  • Technical incompatibilities
  • Errors generated by AI models
  • Indirect, incidental, or consequential damages

In any case, our total liability shall not exceed the amount paid for the current license period.

11. Governing Law and Jurisdiction

These TCS are governed by French law. In the event of a dispute, the exclusive competent jurisdiction shall be Lyon, France.
